## Key takeaways

- A law firm invoice needs a matter reference, itemised time or fixed-fee stages, and fees separated from disbursements.
- In England and Wales, SRA Accounts Rules Rule 4.3 requires a bill of costs before a firm moves client money to pay its fees.
- UK and German rules treat a deposit or payment on account as an advance payment that affects VAT and the final invoice.

A **law firm invoice template** is a billing document that lists the matter, the work done, the time spent, the fees, the disbursements and the amount due. A legal invoice has to do more than ask for money, because the client needs to see what each hour bought and the regulator expects a clear record of costs. This guide gives a filled-in template, the sections it needs, and the UK and German rules that shape it.

## What should a law firm invoice include?

A law firm invoice should include the firm's name and address, the client's name and address, a matter reference, an invoice number, the billing period, the time entries, the professional fees, the disbursements, any tax, and the total due. Each section answers a question the client will ask when the bill arrives. For the fields every invoice needs, see [what to put on an invoice](/blog/what-to-put-on-an-invoice-the-message-signature-and-fields), and for sending it, the [invoice email template](/blog/invoice-email-template-how-to-email-an-invoice). See also the [hourly invoice template](/blog/hourly-invoice-template-bill-hours-worked-with-an-example) covers a related case.

Use this order from top to bottom:

1. Firm name, address, registration or tax number and contact details.
2. Client name and billing address.
3. Invoice number, issue date and due date.
4. Matter reference and a one-line description of the matter.
5. Billing period covered by this invoice.
6. Time entries or fixed-fee stages, with the fee earner and rate.
7. Disbursements listed separately from fees.
8. Tax, retainer credit, total due and payment instructions.

A matter reference is the single most useful field. It lets the client's finance team match the invoice to an engagement, and it lets the firm match payment to the right file.

## How are fees and disbursements different on a legal invoice?

A **professional fee** is a charge for the lawyer's own time or a fixed price for a stage of work, while a **disbursement** is a cost the firm pays to a third party on the client's behalf. Court fees, search fees, expert reports and counsel's fees are common disbursements.

Showing them on separate lines matters for two reasons. The client can see which charges are for advice and which are pass-through costs. The firm also keeps an accurate record of which money it must account for separately.

| Item | Type | Typical example |
|---|---|---|
| Partner time | Professional fee | Advice call, contract review |
| Associate time | Professional fee | Drafting, research |
| Paralegal time | Professional fee | Document preparation, filing |
| Court filing fee | Disbursement | Paid to the court by the firm |
| Search or registry fee | Disbursement | Company or land registry search |

The rows in this table are examples. Your engagement letter decides how each item is charged.

## Worked example: a filled-in law firm invoice

The invoice below bills a small company for one month of work on a commercial contract dispute. Rates and hours are invented for illustration.

![Bar chart of a 4,860 law firm invoice: partner 2,400, associate 1,500, paralegal 600, disbursements 360](https://www.invoqk.com/charts/law-firm-invoice-breakdown.svg)

| Field | Entry |
|---|---|
| Invoice number | LF-2026-0412 |
| Matter | 2026-118, Northgate Supplies, supply contract dispute |
| Billing period | September 1 to September 30, 2026 |
| Partner time | 6 hours at 400 = 2,400.00 |
| Associate time | 10 hours at 150 = 1,500.00 |
| Paralegal time | 6 hours at 100 = 600.00 |
| Disbursements | Court fee 280.00, registry search 80.00 = 360.00 |
| Total due | 4,860.00 |
| Due date | October 31, 2026 |

The total is 2,400.00 plus 1,500.00 plus 600.00 plus 360.00, which gives 4,860.00. Each time entry on the full invoice also carries a date and a short narrative, such as "Reviewed supplier correspondence and advised on notice of breach."

Write narratives in plain language. A client who reads "Telephone attendance on client" learns little, while "Call with client on settlement options" explains the value.

## How do you show a retainer on a law firm invoice?

A **retainer** is money a client pays in advance against future fees, and the invoice should show it as a credit against the total. Show the retainer held at the start of the period, the amount applied to this invoice and the balance remaining.

How the retainer is held is a regulatory matter. In England and Wales, the SRA Accounts Rules treat money held for fees and unpaid disbursements before a bill is delivered as client money, in Rule 2.1(d) of the [SRA Accounts Rules](https://www.sra.org.uk/solicitors/standards-regulations/accounts-rules/). Rule 2.3 generally requires this money to be paid promptly into a client account.

The SRA also governs how fees leave that account. Rule 4.3 requires the firm to give a bill of costs, or other written notification of the costs, before it transfers client money to pay them, and the payment must be for the specific sum in the bill. Rule 8.4 requires a central record of all bills or notifications given, per the [SRA record-keeping provisions](https://www.sra.org.uk/solicitors/standards-regulations/accounts-rules/).

In practice this means the invoice must be delivered first and the transfer must match its total. This guide describes the rule in general terms and does not give regulatory advice. Check the current rules with your regulator.

## What do the UK VAT rules require on a legal invoice?

A VAT-registered law firm in the UK must issue a VAT invoice that shows a unique sequential number, the time of supply, the firm's name, address and VAT registration number, and the client's name and address. HMRC lists these particulars in paragraph 16.3.1 of [VAT Notice 700](https://www.gov.uk/guidance/vat-guide-notice-700), and says the invoice should normally be issued within 30 days of the tax point.

The notice also covers deposits. HMRC says that most deposits serve primarily as advance payments and create a tax point when received, in paragraph 14.2.3. A payment on account of fees can therefore start the VAT clock before the work is done. Ask your accountant how the rule applies to your retainers.

## What does a German law firm invoice need?

A German invoice must show the full names and addresses of both parties, the supplier's tax number or VAT ID, the issue date and a unique sequential invoice number. Section 14 paragraph 4 of the [UStG](https://www.gesetze-im-internet.de/ustg_1980/__14.html) also requires the scope and type of the service, the date of supply, the net amount by tax rate and the tax amount.

Paragraph 5 of the same section covers payments before performance. When a firm receives a payment on account, the same rules apply, and the final invoice must deduct the earlier payments and the tax shown on them. A lawyer who bills a retainer should therefore show the credit clearly on the final bill.

For fee rules specific to German lawyers, consult the relevant professional regulations, because this guide does not cover them.

## When should a law firm use a fixed fee or staged billing?

A **fixed fee** is one agreed price for a defined piece of work, and **staged billing** splits that price across milestones such as instruction, drafting and completion. Both replace the hourly time entries with a stage description, which makes the invoice shorter and the cost predictable for the client.

Show each stage on its own line with the price and the date it was reached. A staged invoice for a contract review might list "Stage 1: initial review, delivered September 12, 2026" and "Stage 2: negotiation of terms, delivered September 28, 2026". The client then sees which milestone each charge belongs to.

Agree the stages and prices in the engagement letter before work begins. An invoice that introduces a stage the client never agreed to is the quickest route to a dispute. If the scope changes, confirm the new price in writing and reference that message on the next invoice.

## How should a law firm word time entries?

A good time entry names the task, the subject and the outcome in one line. It lets a client see the value of the work without asking a question. Entries that are too vague invite disputes, and entries that are too long bury the key facts.

Follow these rules:

1. Start with a verb, such as "Drafted", "Reviewed" or "Advised".
2. Name the document or subject, not only the type of work.
3. State the time in the unit your engagement letter uses, such as tenths of an hour.
4. Group small tasks on the same day into one entry where the letter allows.
5. Keep a copy of the time record, because it supports the invoice if the client queries it.

## Which mistakes make clients dispute legal bills?

Most disputes come from a short list of invoice problems:

- No matter reference, so the client cannot match the bill to an engagement.
- Fees and disbursements mixed on one line.
- Vague narratives that do not explain the work.
- A rate or hourly increase the client was never told about.
- A retainer applied without a visible credit line.

Send the invoice at the interval the engagement letter promises. A client who expects a monthly bill and receives a bill after six months will question every line.

## FAQ

### Which details are required on a legal invoice?

Include the firm and client details, a matter reference, an invoice number, the billing period, itemised time entries or fixed-fee stages, disbursements on separate lines, any tax, retainer credit and the total due with payment instructions.

### What is the difference between fees and disbursements on a legal bill?

Fees are charges for the firm's own work, whether hourly or fixed. Disbursements are costs the firm pays to others for the client, such as court fees or search fees. Keeping them on separate lines makes the bill clear and auditable.

### Must a solicitor in England and Wales send a bill before taking fees from client money?

Yes. SRA Accounts Rules, Rule 4.3, requires a bill of costs or other written notification before the firm transfers client money to pay its costs. The payment must be for the specific sum identified in the bill.

### How do I show a retainer on a law firm invoice?

Show the retainer held at the start of the period, the amount applied against this invoice and the balance remaining. In Germany, section 14 paragraph 5 of the UStG requires the final invoice to deduct earlier payments and their tax.

### How long do I have to issue a VAT invoice for legal services in the UK?

HMRC says you should normally issue a VAT invoice within 30 days of the tax point, according to paragraph 16.2.3 of VAT Notice 700. A deposit or payment on account can create an earlier tax point.
